*Contest Rules and Prizes.

The Pyke Gear Image-In-Upland submission period will run September 1, 2025 through December 31, 2025. By submitting an image(s) all participants agree to and must adhere to the rules and release listed hereunder. No purchase necessary to enter this contest. To enter you must be at least 18 years of age and be a legal resident of the United States of America. Each participant may only submit one(1) image per category in the contest. Any additional images submitted may be removed by Pyke and will not be considered for prize package. Images submitted must be taken in the calendar year 2025 and are subject to verification of creation date. Images do not need to contain Pyke products or products of its associated partners.(although, it might help your chances). All submissions are subject to review and approval by Pyke Gear and may not contain illegal activities, nudity, lewd activity, illegal substance use, abuse of people or animals, or persons under 18(without parental/guardian consent). Pyke Gear has the final authority to admit or decline any image as they deem necessary. Images entered in this contest may not already be entered in or have won any other image/photo contest prior to submission. One winner will be selected from each category as the sole winner in that category. Images will be judged by a panel of volunteer independent judges. All judging decisions will be final and may not be contested for any reason.

Submission of an image to the Pyke Gear Photo Contest constitutes an agreement to and acceptance of the following terms and conditions.

1. Grant of License: By submitting an image, the participant grants Pyke LLC, and its affiliates (collectively, "Pyke Gear") a non-exclusive, perpetual, worldwide, irrevocable, royalty-free license to reproduce, distribute, publicly display, and create derivative works of the submitted image. This includes, but is not limited to, using the image in marketing materials, on Pyke Gear's website, social media channels, advertisements, and in other promotional materials, without further compensation or permission.

2. Copyright and Originality: The participant warrants and represents that they are the sole owner of the submitted image and have the full right and authority to grant the license as specified herein. The participant also warrants that the image is an original work and does not infringe upon the copyrights, trademarks, privacy rights, or any other intellectual property or legal rights of any third party.

3. Rights of the Participant: The participant retains ownership of the copyright in their image. The license granted to Pyke Gear is a non-exclusive license, which means the participant is free to use their image for their own purposes, including submitting it to other contests or selling it to third parties. Pyke Gear shall not sell, financially license, or otherwise distribute any image submitted, to any 3rd party that is not a direct participant of the contest.

4. Name and Likeness: By submitting an image, the participant grants Pyke Gear the right to use their name, likeness, and social media handle in connection with the submitted image and for promotional purposes related to the contest and Pyke Gear's marketing efforts. All persons depicted in an image hereby consent to their likeness being used along with with image submitted.

5. Release and Indemnification: The participant agrees to indemnify, defend, and hold harmless Pyke Gear from and against any and all claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from any breach of the warranties made by the participant in this agreement.

6. Model Release: If the submitted image contains a recognizable person, the participant warrants and represents that they have obtained a valid and legally binding model release from that person, granting all necessary rights for the use of their likeness by Pyke Gear as outlined in these rules.

7. No Obligation to Use: Pyke Gear is under no obligation to use any submitted image, regardless of whether it is a winning entry. All decisions regarding image use are at the sole discretion of Pyke Gear.

8. Acceptance of Rules: Submission of an image to the Pyke Gear Photo Contest signifies that the participant has read, understood, and agrees to be bound by these Official Rules and Image Release.
